Customer service
- These terms and conditions apply to every offer, quotation and agreement between Autobedrijf Hong-Paul, hereinafter referred to as the "User", and a Client to whom the User has declared these terms and conditions applicable, insofar as the parties have not expressly deviated from these terms and conditions in writing.
- These terms and conditions also apply to agreements with the User, for the performance of which the User must involve third parties.
- These general terms and conditions are also written for the User's employees and its management.
- The applicability of any purchasing or other conditions of the Client is expressly rejected.
- If one or more provisions of these general terms and conditions are at any time wholly or partly void or are annulled, the remaining provisions of these general terms and conditions shall remain fully applicable. The User and the Client shall then consult to agree on new provisions to replace the void or annulled provisions, taking into account as far as possible the purpose and intent of the original provisions.
- If there is any uncertainty about the interpretation of one or more provisions of these general terms and conditions, they must be interpreted "in the spirit" of those provisions.
- If a situation arises between the parties that is not regulated in these general terms and conditions, it must be assessed in the spirit of these general terms and conditions.
- If the User does not always demand strict compliance with these terms and conditions, this does not mean that their provisions do not apply, or that the User would in any way lose the right to demand strict compliance with the provisions of these terms and conditions in other cases.
Article 2 Quotations and offers
- All quotations and offers of the User are without obligation, unless a period for acceptance is stated in the quotation. If no acceptance period is stated, no rights can be derived in any way from the quotation or offer if the product to which the quotation or offer relates is no longer available in the meantime.
- The User cannot be held to its quotations or offers if the Client can reasonably understand that the quotations or offers, or any part of them, contain an obvious mistake or clerical error.
- The prices stated in a quotation or offer include VAT and other government levies, and any costs to be incurred in connection with the agreement, including travel and accommodation, shipping and administration costs, unless stated otherwise.
- If the acceptance (whether or not on minor points) deviates from the offer included in the quotation or offer, the User is not bound by it. The agreement is then not concluded in accordance with this deviating acceptance, unless the User indicates otherwise.
- A composite price quotation does not oblige the User to perform part of the assignment for a corresponding part of the stated price. Offers or quotations do not automatically apply to future orders.
Article 3 Duration of the agreement; performance periods, transfer of risk, performance and amendment of the agreement;price increases
- The agreement between the User and the Client is entered into for an indefinite period, unless the nature of the agreement dictates otherwise or the parties expressly agree otherwise in writing.
- If a period has been agreed or stated for the performance of certain work or the delivery of certain goods, this is never a strict deadline. If a period is exceeded, the Client must therefore give the User written notice of default. The User must be given a reasonable period in which to still perform the agreement.
- The User shall perform the agreement to the best of its knowledge and ability and in accordance with the requirements of good workmanship, on the basis of the state of science known at that time.
- The User has the right to have certain work carried out by third parties. The applicability of Articles 7:404, 7:407(2) and 7:409 of the Dutch Civil Code is expressly excluded.
- If the User or third parties engaged by the User carry out work in connection with the assignment at the Client's premises or at a location designated by the Client, the Client shall provide, free of charge, the facilities reasonably desired by those employees.
- Delivery takes place ex works from the User's premises. The Client is obliged to take receipt of the goods at the moment they are made available to it. If the Client refuses to take delivery or is negligent in providing information or instructions necessary for delivery, the User is entitled to store the goods at the Client's expense and risk. The risk of loss, damage or depreciation passes to the Client at the moment the goods are made available to the Client.
- The User is entitled to perform the agreement in several phases and to invoice the part thus performed separately.
- If the agreement is performed in phases, the User may suspend the performance of those parts that belong to a subsequent phase until the Client has approved the results of the preceding phase in writing.
- The Client shall ensure that all data that the User indicates are necessary, or that the Client should reasonably understand to be necessary for the performance of the agreement, are provided to the User in good time. If the data required for the performance of the agreement are not provided to the User in good time, the User has the right to suspend the performance of the agreement and/or to charge the Client for the additional costs resulting from the delay at the then usual rates. The performance period does not begin until the Client has made the data available to the User. The User is not liable for damage of any kind resulting from the User having relied on incorrect and/or incomplete data provided by the Client.
- If it becomes apparent during the performance of the agreement that it is necessary to amend or supplement it for proper performance, the parties shall amend the agreement in good time and in mutual consultation. If the nature, scope or content of the agreement is changed, whether or not at the request or instruction of the Client, the competent authorities, etc., and the agreement is thereby changed in qualitative and/or quantitative terms, this may have consequences for what was originally agreed. As a result, the originally agreed amount may also be increased or reduced. The User will provide a price quotation in advance as far as possible. An amendment of the agreement may also change the originally stated performance period. The Client accepts the possibility of amendment of the agreement, including the change in price and performance period.
- If the agreement is amended, including a supplement, the User is entitled to carry it out only after approval has been given by the person authorised within the User's organisation and the Client has agreed to the price and other conditions stated for the performance, including the time at which it will then be carried out. Failure to carry out the amended agreement, or failure to do so immediately, does not constitute a breach by the User and is not a ground for the Client to terminate or cancel the agreement.
- Without thereby being in default, the User may refuse a request to amend the agreement if this could have consequences in qualitative and/or quantitative terms, for example for the work to be carried out or the goods to be delivered in that context.
- If the Client should default in the proper performance of what it owes to the User, the Client is liable for all damage suffered by the User as a direct or indirect result.
- If the User agrees a fixed fee or fixed price with the Client, the User is nevertheless entitled at all times to increase this fee or price without the Client being entitled to dissolve the agreement for that reason, if the price increase results from a power or obligation under laws or regulations, or is caused by an increase in the price of raw materials, wages, etc., or on other grounds that could not reasonably have been foreseen when the agreement was entered into.
- If the price increase, other than as a result of an amendment of the agreement, exceeds 10% and takes place within three months of the conclusion of the agreement, only the Client who can invoke Title 5, Section 3 of Book 6 of the Dutch Civil Code is entitled to dissolve the agreement by a written statement, unless the User
- is then still prepared to perform the agreement on the basis of what was originally agreed;
- if the price increase results from a power or an obligation of the User under the law;
- if it was stipulated that delivery will take place more than three months after the conclusion of the agreement;
- or, in the case of delivery of goods, if it was stipulated that delivery will take place more than three months after the purchase.
Article 4 Suspension, dissolution and early termination of the agreement
- The User is entitled to suspend the performance of its obligations or to dissolve the agreement if the Client fails to perform its obligations under the agreement, fails to perform them in full or fails to perform them in time; if, after the conclusion of the agreement, circumstances come to the User's attention that give good grounds to fear that the Client will not perform its obligations; if the Client was asked at the conclusion of the agreement to provide security for the fulfilment of its obligations under the agreement and this security is not forthcoming or is insufficient; or if, due to the delay on the part of the Client, the User can no longer be expected to perform the agreement on the originally agreed conditions.
- Furthermore, the User is entitled to dissolve the agreement if circumstances arise of such a nature that performance of the agreement is impossible, or if other circumstances arise of such a nature that the User cannot reasonably be expected to maintain the agreement unchanged.
- If the agreement is dissolved, the User's claims against the Client are immediately due and payable. If the User suspends the performance of its obligations, it retains its rights under the law and the agreement.
- If the User proceeds to suspension or dissolution, it is in no way obliged to compensate damage and costs arising in any way as a result.
- If the dissolution is attributable to the Client, the User is entitled to compensation for the damage, including the costs, arising directly and indirectly as a result.
- If the Client fails to perform its obligations under the agreement and this failure justifies dissolution, the User is entitled to dissolve the agreement forthwith and with immediate effect, without any obligation on its part to pay any damages or compensation, while the Client, by reason of its breach, is obliged to pay damages or compensation.
- If the agreement is terminated early by the User, the User shall, in consultation with the Client, arrange for the transfer of work still to be carried out to third parties. This does not apply if the termination is attributable to the Client. If the transfer of the work entails additional costs for the User, these will be charged to the Client. The Client is obliged to pay these costs within the stated period, unless the User indicates otherwise.
- In the event of liquidation, of (an application for) suspension of payments or bankruptcy, of attachment – if and insofar as the attachment is not lifted within three months – against the Client, of debt restructuring, or of any other circumstance as a result of which the Client can no longer freely dispose of its assets, the User is free to terminate the agreement forthwith and with immediate effect, or to cancel the order or agreement, without any obligation on its part to pay any damages or compensation. In that case the User's claims against the Client are immediately due and payable.
- If the Client cancels a placed order in whole or in part, the work that has been carried out and the goods ordered or prepared for it, plus any transport, removal and delivery costs thereof and the working time reserved for the performance of the agreement, will be charged to the Client in full.
Article 5 Force majeure
- The User is not obliged to fulfil any obligation towards the Client if it is prevented from doing so as a result of a circumstance that is not due to fault, and which is not for its account by virtue of the law, a legal act or generally accepted views.
- In these general terms and conditions, force majeure means, in addition to what is understood by it in the law and case law, all external causes, foreseen or unforeseen, over which the User cannot exercise any influence, but which prevent the User from fulfilling its obligations. This includes strikes at the User's company or at third parties. The User also has the right to invoke force majeure if the circumstance that prevents (further) performance of the agreement arises after the User should have fulfilled its obligation.
- During the period that the force majeure continues, the User may suspend its obligations under the agreement. If this period lasts longer than two months, either party is entitled to dissolve the agreement, without any obligation to compensate the other party for damage.
- Insofar as the User, at the time of the occurrence of force majeure, has already partly fulfilled its obligations under the agreement or will be able to fulfil them, and the part fulfilled or to be fulfilled has independent value, the User is entitled to invoice the part already fulfilled or to be fulfilled separately. The Client is obliged to pay this invoice as if it were a separate agreement.
Article 6 Payment and collection costs
- Payment must always be made within 5 days of the invoice date, in a manner to be indicated by the User, in the currency in which the invoice was issued, unless the User indicates otherwise in writing. The User is entitled to invoice periodically.
- If the Client fails to pay an invoice on time, the Client is in default by operation of law. The Client then owes interest of 1% per month, unless the statutory interest is higher, in which case the statutory interest is owed. The interest on the amount due will be calculated from the moment the Client is in default until the moment the full amount due has been paid.
- The User has the right to apply payments made by the Client first to the costs, then to the accrued interest and finally to the principal sum and the current interest. The User may, without thereby being in default, refuse an offer of payment if the Client designates a different order for the allocation of the payment. The User may refuse full repayment of the principal sum if the accrued and current interest and collection costs are not also paid.
- The Client is never entitled to set off what it owes to the User. Objections to the amount of an invoice do not suspend the payment obligation. A Client who cannot invoke Section 6.5.3 (Articles 231 to 247 of Book 6 of the Dutch Civil Code) is likewise not entitled to suspend payment of an invoice for any other reason.
- If the Client is in default in the (timely) performance of its obligations, all reasonable costs of obtaining payment out of court are for the Client's account. The default of a Client who is a natural person not acting in the course of a profession or business (a private client) occurs after the Client has been summoned to pay within fourteen days of the day of the reminder and payment is not made. The reminder also states the consequences of non-payment. The extrajudicial costs are calculated on the basis of what is customary in Dutch collection practice. However, if the User has incurred higher collection costs that were reasonably necessary and the Client is not a natural person who is not acting in the course of a profession or business (a business client), the costs actually incurred are eligible for reimbursement. Any judicial and enforcement costs incurred will also be recovered from the Client. The Client also owes interest on the collection costs due.
Article 7 Retention of title
- What the User delivers in connection with the agreement remains the property of the User until the Client has properly fulfilled all its obligations under the agreement(s) concluded with the User.
- What is delivered by the User and is subject to retention of title pursuant to paragraph 1 may not be resold and may never be used as a means of payment. The Client is not authorised to pledge or in any other way encumber what is subject to retention of title.
- The Client must always do everything that can reasonably be expected of it to safeguard the User's ownership rights. If third parties levy attachment on what has been delivered under retention of title, or wish to establish or assert rights to it, the Client is obliged to inform the User immediately. The Client is further obliged to insure what has been delivered under retention of title, and to keep it insured, against fire, explosion and water damage and against theft, and to show the policy of this insurance to the User on first request. In the event of an insurance payout, the User is entitled to these monies. Insofar as necessary, the Client undertakes in advance towards the User to cooperate in everything that may prove necessary or desirable in that context.
- In the event that the User wishes to exercise its ownership rights referred to in this article, the Client gives the User and third parties designated by the User, in advance, unconditional and irrevocable permission to enter all places where the User's property is located and to take it back.
Article 8 Warranties, inspection and complaints, limitation period
- The goods to be delivered by the User comply with the usual requirements and standards that can reasonably be set for them at the time of delivery and for which they are intended under normal use in the Netherlands. The warranty referred to in this article applies to goods intended for use within the Netherlands. In the case of use outside the Netherlands, the Client must itself verify whether the use is suitable for use there and complies with the conditions set for it. In that case the User may set other warranty and other conditions in respect of the goods to be delivered or the work to be carried out.
- The warranty referred to in paragraph 1 of this article applies for a period of 1 year after delivery, unless the nature of what is delivered dictates otherwise or the parties have agreed otherwise. If the warranty provided by the User concerns an item produced by a third party, the warranty is limited to that provided by the producer of the item, unless stated otherwise.
- Any form of warranty lapses if a defect has arisen as a result of or results from improper or unintended use, or use after the expiry date, incorrect storage or maintenance by the Client and/or by third parties; if, without the User's written permission, the Client or third parties have made or attempted to make changes to the item, have attached other items to it that should not be attached to it, or if it has been processed or treated in a manner other than the prescribed one. The Client is likewise not entitled to a warranty claim if the defect has arisen from or is the result of circumstances over which the User cannot exercise any influence, including weather conditions (such as, but not limited to, extreme rainfall or temperatures), etc.
- The Client is obliged to inspect (or have inspected) what is delivered, immediately at the moment the goods are made available to it or the work in question has been carried out. In doing so, the Client must check whether the quality and/or quantity of what is delivered corresponds to what was agreed and meets the requirements the parties agreed in that regard. Any visible defects must be reported to the User in writing within seven days of delivery. Any non-visible defects must be reported to the User in writing immediately, and in any case no later than fourteen days after their discovery. The report must contain as detailed a description of the defect as possible, so that the User is able to respond adequately. The Client must give the User the opportunity to investigate (or have investigated) a complaint.
- If the Client complains in good time, this does not suspend its payment obligation. In that case the Client also remains obliged to take delivery of and pay for the other goods ordered and what it has instructed the User to do.
- If a defect is reported later, the Client is no longer entitled to repair, replacement or compensation.
- If it is established that an item is defective and a complaint was made in good time, the User will, at its option, replace the defective item or arrange for its repair, or pay the Client replacement compensation for it, within a reasonable period after receiving it back or, if return is not reasonably possible, after written notification of the defect by the Client. In the case of replacement, the Client is obliged to return the replaced item to the User and to transfer ownership of it to the User, unless the User indicates otherwise.
- If it is established that a complaint is unfounded, the costs arising as a result, including the investigation costs incurred by the User, are borne in full by the Client.
- After the warranty period has expired, all costs for repair or replacement, including administration, shipping and call-out costs, will be charged to the Client.
- In deviation from the statutory limitation periods, the limitation period for all claims and defences against the User and third parties engaged by the User in the performance of an agreement is one year.
Article 9 Liability
- If the User should be liable, this liability is limited to what is regulated in this provision.
- The User is not liable for damage of any kind arising from the User having relied on incorrect and/or incomplete data provided by or on behalf of the Client.
- If the User should be liable for any damage, the User's liability is limited to a maximum of twice the invoice value of the order, or at least to that part of the order to which the liability relates.
- The User's liability is in any case always limited to the amount paid out by its insurer, where applicable.
- The User is liable only for direct damage.
- Direct damage means exclusively the reasonable costs of determining the cause and extent of the damage, insofar as the determination relates to damage within the meaning of these terms and conditions; any reasonable costs incurred to make the User's defective performance comply with the agreement, insofar as these can be attributed to the User; and reasonable costs incurred to prevent or limit damage, insofar as the Client demonstrates that these costs have led to a limitation of direct damage as referred to in these general terms and conditions. The User is never liable for indirect damage, including consequential damage, lost profits, missed savings and damage due to business interruption.
- The limitations of liability included in this article do not apply if the damage is due to intent or gross negligence on the part of the User or its managerial subordinates.
- The Client indemnifies the User against any claims of third parties who suffer damage in connection with the performance of the agreement and the cause of which is attributable to parties other than the User. If the User is held liable by third parties on that basis, the Client is obliged to assist the User both out of court and in court and to do without delay everything that may be expected of it in that case. Should the Client fail to take adequate measures, the User is entitled, without notice of default, to do so itself. All costs and damage incurred by the User and third parties as a result are borne in full by the Client, at the Client's risk.
Article 11 Intellectual property
- The User reserves the rights and powers that accrue to it under the Dutch Copyright Act and other intellectual property laws and regulations. The User has the right to also use the knowledge gained through the performance of an agreement for other purposes, insofar as no strictly confidential information of the Client is disclosed to third parties.
- Dutch law exclusively applies to all legal relationships to which the User is a party, even if an obligation is performed wholly or partly abroad or if the party involved in the legal relationship is domiciled there. The applicability of the Vienna Sales Convention is excluded.
- The court in the User's place of business has exclusive jurisdiction to hear disputes, unless the law mandatorily prescribes otherwise. Nevertheless, the User has the right to submit the dispute to the court that has jurisdiction under the law.
- The parties will only turn to the court after they have made every effort to settle a dispute by mutual consultation.
- These terms and conditions have been filed with the Chamber of Commerce in Arnhem.
- The most recently filed version applies, or the version as it applied at the time the legal relationship with the User came into being.
- The Dutch text of the general terms and conditions is always decisive for their interpretation.
